EB-5 Program

With over 25 years of experience drafting private placement memorandums (PPMs), and the ability of a boutique firm to offer flat fees for the entire project at reasonable rates, we are able to draft PPMs under the Employment Based Fifth Preference Program (EB-5 Program) which contain all the disclosures required by law. Since SEC Regulation S-K is often used as the benchmark for EB-5 Program PPM disclosure, our detailed knowledge of Regulation S-K and of all of its complexities, uniquely position us to prepare private placement memorandums for EB-5 Program clients which comply with all the requirements of Regulation S-K.

The EB-5 Program enables foreign investors to obtain their permanent residency ("green cards") by investing in a U.S. business. EB-5 applicants are typically required to invest either $500,000 or $1 million dollars in a US business through a SEC Regulation D private offering in order to qualify for the program. The applicant's investment must lead to the creation of 10 fulltime U.S. jobs for a two year period. After the program has been completed, EB-5 investors, their unmarried children under 21, and their spouse can permanently live and work in the United States.
